1. Terms of Use

1.1 Acceptance of Terms

By creating an account, accessing, or using Gradian (the “Service”), you agree to be legally bound by these Terms of Use (“Terms”). If you do not agree, do not use the Service. These Terms are presented for explicit acceptance the first time you access the Service and whenever we materially update them.

1.2 Eligibility & Minimum Age (Age 12+)

You are responsible for all activity that occurs under your account and for keeping your authentication credentials confidential.

1.3 Description of the Service

Gradian is a high-performance browser-based creative studio providing:

  • Image tools: Client-side neural background removal, alpha matting, color tolerance adjustment, and high-resolution layer exporting.
  • Gradient tools: Procedural WebGL2 shader mesh creation, keyframe animations, 3D lighting coordinates, and high-DPI raster renders.
  • Video tools: AI-powered multi-lingual speech transcription, kinetic typography styling, karaoke word timing, and WebCodecs 4K/60FPS video rendering.

1.4 How the Service Processes Your Content — Technology & Privacy Disclosures

1.5 Open-Source & Third-Party Technology; What You Are Paying For

Gradian incorporates trusted open-source and third-party software components (including WebAssembly modules, audio decoders, and specialized AI models). Where an underlying component is open-source, it remains governed by its respective open-source license.

Subscription fees and paid tiers charge strictly for integrated application access, high-capacity GPU compute infrastructure, transcription quotas, curated typography presets, cloud sync, and dedicated support—not for underlying public open-source technology.

1.6 Account Registration

Account creation is managed via our third-party authentication infrastructure (Clerk, supporting Google OAuth and verified email authentication). You agree to provide accurate information and maintain the security of your credentials.

1.7 Subscriptions, Billing & Tiers

  • The Service offers a Free Starter Tier and paid subscription tiers with expanded transcription minutes and 4K export bandwidth.
  • Paid subscriptions are billed in advance on a recurring monthly or annual basis via our authorized payment processor (Razorpay) and automatically renew until canceled.
  • Prices are displayed in Indian Rupees (₹ / INR) or equivalent local currency and exclude applicable statutory taxes unless stated otherwise.
  • We do not store complete credit card or debit card numbers—all financial transactions are tokenized directly through PCI-DSS compliant gateways.

1.8 User Content & Intellectual Property Ownership

You own your content: You retain 100% intellectual property ownership of all images, audio, video recordings, transcripts, and graphic assets you upload or export from Gradian (“User Content”).

You grant Gradian only the strictly limited, revocable technical license necessary to process, store, and render your projects as requested. We do not use your private media content to train foundational AI models.

1.9 Acceptable Use

You agree not to use the Service to:

  • Engage in unlawful, defamatory, abusive, or infringing activities under applicable Indian and international law.
  • Upload material that infringes third-party copyrights, trademarks, or personal privacy rights.
  • Reverse-engineer, scrape, DDoS, or attempt to bypass rate limits and transcription quotas.
  • Distribute malware, phishing payloads, or malicious scripts.

1.10 AI Accuracy Disclaimer

AI-generated speech-to-text transcriptions and phonetic alignments are powered by statistical neural models and may occasionally produce minor phoneme inaccuracies or misspellings. Gradian provides an interactive transcript timeline editor allowing users to review and modify generated text before final export.

1.11 Disclaimers & Limitation of Liability

The Service is provided “as is” and “as available” without warranties of any kind. To the maximum extent permitted by applicable law, Gradian's total aggregate liability is limited to the fees paid by you in the 12 months preceding the claim.

1.12 Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the competent courts of Lucknow, Uttar Pradesh, India.

2. Privacy Policy

2.1 Scope & Compliance (DPDP Act 2023)

This Privacy Policy explains how Gradian Media Technologies collects, uses, protects, and discloses personal data in full compliance with the Digital Personal Data Protection Act, 2023 (India) and international privacy standards.

2.2 Data We Collect

  • Account Identifiers: Name, email address, username, and authentication identifiers provided through Clerk / Google OAuth.
  • Project Data: Project metadata, custom color palettes, and timeline keyframes. Locally saved projects reside exclusively on your device in IndexedDB unless synchronized to our cloud store.
  • Usage Analytics: Monthly AI transcription seconds consumed, export format preferences, and system diagnostic logs.
  • Billing Records: Transaction IDs, subscription validity dates, and invoice records provided by Razorpay.

2.4 Data Retention & Erasure

Account credentials and usage metrics are maintained while your account remains active. You may request permanent deletion of your account and associated project records at any time by contacting ronanatomos@gmail.com.

2.5 Children's Data (Age 12+)

Gradian is directed at creators aged 12 and above. We do not knowingly collect personal data from children under 12 years of age. Minor accounts (aged 12–17) operate under parent/guardian consent.

3. Customer Grievance Redressal Policy

In accordance with the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the DPDP Act, 2023, Gradian has established a dedicated Grievance Redressal mechanism.

Acknowledgment & Resolution Timelines

  • Acknowledgment: Every grievance ticket is acknowledged within 24 to 48 hours with a unique reference number.
  • Standard Resolution: Technical and account issues are resolved within 3 working days.
  • Complex Inquiries: Complex statutory or data requests are resolved within 7 to 14 working days, with interim progress updates provided to the complainant.

4. Refund & Dispute Policy

Refund Policy

All payments made for Gradian subscriptions, credits, and services are final and non-refundable once a billing cycle commences. Because Gradian provides immediate access to digital GPU compute, AI transcription quotas, and high-performance WebGL2 shader engines, we do not issue prorated refunds for partial billing periods or unused quotas.

Users may cancel their subscription renewal at any time directly through their Account Dashboard before the next billing date.

Dispute Resolution

If you experience billing anomalies, duplicate charges, or service outages, please contact our support team immediately at ronanatomos@gmail.com. We resolve legitimate payment discrepancies and billing errors in good faith within 3 business days.
